1. Acceptance of Terms
Welcome to Just Jimmy LLC ("Jimmy," "we," "our," or "us"). By accessing or using our website jimmycoach.com, mobile application ("App"), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Important: These Terms constitute a legally binding agreement between you and Just Jimmy LLC, a company incorporated in the United States.
2. Definitions
- "User" or "You" means any individual who accesses or uses the Service. - "Coach" means a fitness professional who uses the Service to manage clients. - "Client" means an individual who receives coaching services through the Service. - "Account" means your registered account for accessing the Service. - "Content" means any text, data, information, workout plans, videos, photos, or other materials.
3. Eligibility
You must be at least 16 years old to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service. By using the Service, you represent and warrant that: - You have the legal capacity to enter into these Terms. - You are not prohibited from using the Service under the laws of your jurisdiction.
4. Account Registration
4.1 Creating an Account To access certain features of the Service, you must create an Account by providing: - A valid email address - A secure password - Basic profile information (name, role: Coach or Client) 4.2 Account Security You are responsible for: - Maintaining the confidentiality of your login credentials. - All activities that occur under your Account. - Notifying us immediately at hello@jimmycoach.com of any unauthorized use. We are not liable for any loss or damage arising from your failure to protect your Account.
5. Service Description
5.1 Current Phase (Waitlist) During the Waitlist phase, you may register your interest in using the Service. Access to the full platform will be granted progressively. 5.2 Full Service (Upon Launch) The Service will provide: - For Coaches: Tools to create workout plans, track client progress, communicate with clients, and manage subscriptions. - For Clients: Access to personalized workout plans, progress tracking, and communication with their Coach. 5.3 Service Availability We strive to provide continuous service availability but do not guarantee uninterrupted or error-free operation. We may: - Suspend or discontinue any part of the Service. - Perform scheduled or emergency maintenance. - Modify features or functionality.
6. Subscription and Payment Terms
6.1 Free Trial (If Applicable) We may offer free trials for new users. After the trial period, your subscription will automatically convert to a paid plan unless you cancel. 6.2 Subscription Plans - Coach Plans: Monthly or annual subscriptions for Coaches to access the platform. - Client Access: Determined by the Coach's subscription tier. 6.3 Billing - Subscriptions are billed in advance on a monthly or annual basis. - Payments are processed through secure third-party payment processors. - You authorize us to charge your payment method on file. 6.4 Price Changes We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect. Your continued use after the price change constitutes acceptance. 6.5 Refund Policy - Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. - No Refunds: We do not provide refunds for partial months or unused portions of a subscription, except as required by law.
7. License and Restrictions
7.1 Limited License Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business purposes. 7.2 Restrictions You agree NOT to: - Copy, modify, or create derivative works of the Service. - Reverse engineer, decompile, or attempt to extract source code. - Rent, lease, sell, or sublicense the Service. - Use the Service for any illegal or unauthorized purpose. - Upload viruses, malware, or harmful code. - Harass, abuse, or harm other users. - Impersonate any person or entity. - Scrape or extract data using automated means without permission.
8. User Content and Data
8.1 Your Content You retain ownership of all Content you upload to the Service (workout plans, progress photos, nutrition logs, etc.). By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to: - Store, process, and display your Content to provide the Service. - Share your Content with your Coach or Clients (as applicable). 8.2 Content Responsibility You are solely responsible for: - The accuracy and legality of your Content. - Obtaining any necessary permissions for Content you upload (e.g., music, images). 8.3 Prohibited Content You may not upload Content that: - Is illegal, obscene, defamatory, or infringes intellectual property rights. - Contains viruses or malicious code. - Violates the privacy or rights of others. 8.4 Content Removal We reserve the right to remove any Content that violates these Terms, without notice.
9. Health and Fitness Disclaimer
IMPORTANT: READ CAREFULLY 9.1 Not Medical Advice The Service is designed for general fitness and wellness purposes only. It is NOT a substitute for professional medical advice, diagnosis, or treatment. - Always consult with a qualified healthcare provider before starting any fitness program. - If you experience chest pain, dizziness, or discomfort during exercise, stop immediately and seek medical attention. 9.2 Assumption of Risk You acknowledge that: - Physical exercise carries inherent risks, including risk of injury or death. - You voluntarily participate in fitness activities at your own risk. - We are not responsible for any injuries, illness, or damages resulting from your use of the Service. 9.3 Coach Qualifications - We do not verify the credentials or qualifications of Coaches using the Service. - Clients are responsible for verifying their Coach's credentials and suitability.
10. Intellectual Property Rights
10.1 Our Property The Service and its original content (excluding User Content), features, and functionality are owned by Just Jimmy LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. 10.2 Trademarks Jimmy, Jimmy Coach, and all related logos are trademarks of Just Jimmy LLC. You may not use these trademarks without our prior written permission.
11. Third-Party Services
The Service may contain links to third-party websites or services (e.g., payment processors, social media) that are not owned or controlled by us. We are not responsible for: - The content, privacy policies, or practices of third-party services. - Any damages or losses caused by your use of third-party services.
12. Termination
12.1 Termination by You You may terminate your Account at any time by: - Navigating to Account Settings and selecting "Delete Account." - Contacting us at hello@jimmycoach.com. 12.2 Termination by Us We may suspend or terminate your Account immediately, without prior notice, if: - You breach these Terms. - You engage in fraudulent or illegal activity. - Your use of the Service disrupts other users or the platform. 12.3 Effect of Termination Upon termination: - Your right to use the Service ceases immediately. - We may delete your Account and Content (subject to our data retention obligations under applicable law). - You remain liable for any outstanding fees.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: - Fitness for a particular purpose. - Accuracy, reliability, or completeness of Content. - Uninterrupted or error-free operation. WE DO NOT WARRANT THAT: - The Service will meet your specific requirements. - Any errors or defects will be corrected. - The Service is free of viruses or harmful components.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: 14.1 Exclusion of Damages JUST JIMMY LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR: - Any indirect, incidental, special, consequential, or punitive damages. - Loss of profits, revenue, data, or business opportunities. - Personal injury or death arising from your use of the Service. 14.2 Cap on Liability OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: - The amount you paid us in the 12 months preceding the claim, OR - $100 USD. 14.3 Exceptions Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Just Jimmy LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: - Your use of the Service. - Your violation of these Terms. - Your violation of any rights of a third party. - Your Content.
16. Dispute Resolution and Governing Law
16.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. 16.2 For Users Outside the United States If you are a consumer based in the European Union or United Kingdom, nothing in these Terms affects your statutory rights under local consumer protection laws. 16.3 Jurisdiction Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, USA. You consent to the exclusive jurisdiction of those courts. 16.4 Arbitration (Optional - For US Users) For disputes involving US-based users, we may offer binding arbitration as an alternative to court litigation. Details will be provided separately if applicable.
17. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If we make material changes, we will: - Post the updated Terms on this page with a new "Last Updated" date. - Notify you via email (if you have an Account). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. General Provisions
18.1 Entire Agreement These Terms constitute the entire agreement between you and Just Jimmy LLC regarding the Service and supersede all prior agreements. 18.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. 18.3 Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. 18.4 Assignment You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction. 18.5 Force Majeure We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics).
